What We Know

 Over the last 18 months, the U.S. has experienced an economic storm of dramatic proportions, yielding turbulence and uncertainty not seen in at least 65 years.  As a result, asset values have deteriorated markedly.

 Although slow to react, bank regulators now have “religion” and are approaching bank examinations with new-found fervor, requiring more capital, greater accountability, better risk management.  For banks already experiencing increased regulatory scrutiny, bank regulators now routinely require that “non-executive” directors document their mandatory attendance at qualified training/education programs. 

 All of this is occurring in tandem with significant changes almost certain to occur in 2010 with regard to the national bank regulatory framework, together with new laws and regulations impacting community banks.

What We Think

Moving forward, outside (“non-executive”) bank directors will have to cope with major challenges in modifying the manner in which their banks conduct business and compete while the U.S. banking industry continues to consolidate. 

In the future, community bank directors will need to be diligent in staying abreast of the changes in the banking industry, and will need to be educated in the developing regulatory aspects of the banking industry. 

 It will be imperative that community bank directors (particularly outside directors) obtain and maintain an up-to-date knowledge and understanding of the banking business in order for them to be effective in serving their constituents, the shareholders.
